Terms and Conditions of Sale and Use
Effective Date: October 22, 2026 · Version 1.3
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 15) THAT AFFECT YOUR LEGAL RIGHTS. BY CHECKING THE ACCEPTANCE BOX AT CHECKOUT, CREATING AN ACCOUNT, OR PURCHASING OR USING ANY PRODUCT, YOU AGREE TO THESE TERMS.
1. Who We Are and What These Terms Cover
1.1. These Terms and Conditions (“Terms”) are a legal agreement between you (“you,” “your,” or “Customer”) and Kind Leaf Naturals, a Florida limited liability company doing business as KindLeaf Naturals (“KindLeaf,” “we,” “us,” or “our”), with a mailing address at 7901 4th St. N, Ste 300, St. Petersburg, FL 33702.
1.2. These Terms govern (a) your access to and use of kindleafnaturals.com and any related sites, apps, or services (the “Site”), (b) every purchase you make from us, and (c) your possession and use of every product we sell (the “Products”).
1.3. Our Privacy Policy, Shipping Policy, and Return Policy are incorporated into these Terms by reference. If there is a conflict, these Terms control.
2. How You Accept These Terms
2.1. You accept these Terms by doing any of the following: checking the box labeled “I have read and agree to the Terms and Conditions” at checkout; creating an account; placing an order; or opening, possessing, or using a Product.
2.2. We keep a record of your acceptance, including the date, time, version of the Terms, and order number. That record is conclusive evidence of your agreement.
2.3. If you do not agree to these Terms, do not check the box, do not place an order, and do not use any Product.
3. Age Requirement and Verification
3.1. You must be at least 21 years old to purchase, possess, or use our Products. Where the law of your jurisdiction sets a higher minimum age, that age applies.
3.2. By placing an order you represent and warrant that you are at least 21 years old (or the higher applicable age), that you are purchasing for your own personal use, and that you will not sell, give, or otherwise transfer any Product to anyone under 21.
3.3. You consent to our use of third-party age- and identity-verification services, and you agree to provide a valid government-issued photo ID on request before or after shipment. We may cancel any order and refund the purchase price if we cannot verify your age to our satisfaction.
3.4. Providing false age or identity information is a material breach of these Terms and may be a crime.
4. Important Product Information and Health Warnings
4.1. Our Products contain Mitragyna speciosa (kratom) leaf. Kratom is a botanical whose effects vary by individual. The U.S. Food and Drug Administration has not approved kratom for any use and has not evaluated our Products. Our Products are not intended to diagnose, treat, cure, or prevent any disease or condition, and nothing on the Site or our packaging is medical advice.
4.2. You agree to read every warning on the Product label before use and to follow all directions, including serving size and the daily maximum.
4.3. Kratom’s alkaloids act on some of the same receptors in the brain as opioids. Kratom can cause dependence and withdrawal, and regular or prolonged use increases that risk. Kratom may interact dangerously with alcohol, opioids, benzodiazepines, sedatives, and other prescription or non-prescription drugs, and such combinations can cause serious injury or death. Kratom may affect the heart, liver, and kidneys, may cause seizures, and may impair your ability to drive or operate machinery.
4.4. By purchasing, you represent that you:
- are not pregnant or nursing;
- have consulted, or will consult, a licensed physician before use, especially if you take any medication or have any medical condition;
- do not have a history of substance use disorder, or have discussed use with a physician if you do;
- will not combine the Product with alcohol, opioids, sedatives, or other drugs; and
- will keep the Product out of the reach of children and pets.
4.5. Assumption of Risk. You acknowledge that you have read and understood the warnings above and on the Product label, that you are choosing to purchase and use kratom voluntarily with knowledge of its risks, and that you assume all risks associated with your decision to use it, to the fullest extent permitted by law.
4.6. Adverse Events. If you experience an adverse reaction, stop using the Product and seek medical attention. Please also report it to us at info@kindleafnaturals.com so we can meet our reporting obligations.
4.7. No Reliance on Opinions. Customer reviews, testimonials, social-media posts, and any other third-party content reflect individual opinions and experiences, not statements or claims by KindLeaf. We do not claim that any Product produces any particular effect, and you agree that you are not relying on any such content, or on any oral statement by anyone, in deciding to purchase or use a Product.
5. Legality and Shipping Restrictions
5.1. Kratom is prohibited or restricted in certain states, counties, cities, and countries, and laws change frequently. You are solely responsible for knowing and complying with the laws of the place where you order, receive, possess, and use the Products.
5.2. We do not sell or ship Products to any state, county, city, or other jurisdiction where we believe the sale or possession of kratom is prohibited (a “Restricted Area”). Our current list of Restricted Areas is posted on our Shipping page and may change without notice. The list is provided for convenience only, may not include every local law, and is not legal advice.
5.3. By placing an order, you represent and warrant that the Products are legal to purchase, receive, and possess at the shipping address you provide and wherever you will use them. You may not ship, forward, carry, or transfer any Product into a Restricted Area, and you may not use a freight forwarder, mail-forwarding or reshipping service, or any address outside a Restricted Area to obtain Products for use within one.
5.4. We may refuse, cancel, or stop any order, at any time before delivery, that we believe is intended for a Restricted Area, and refund the amount paid. Providing a false or misleading shipping address to evade a restriction is a material breach of these Terms; in that case we may cancel the order, retain any amounts needed to cover our costs, and refuse future orders, and you are responsible for any resulting fines, penalties, or losses under Section 12.
5.5. We ship only within the United States. You may not export or re-export any Product.
5.6. You may not resell any Product. Products are sold for personal, non-commercial use only unless you have a separate written wholesale agreement with us.
6. Orders, Pricing, and Payment
6.1. Your order is an offer to buy. We may accept or decline it for any lawful reason, including suspected fraud, age-verification failure, shipping restrictions, or pricing or inventory errors. An order is accepted only when we ship it.
6.2. Prices are in U.S. dollars and may change without notice. We may correct pricing errors, including after an order is placed; if we do, we will offer you the choice to accept the corrected price or cancel for a full refund.
6.3. You are responsible for all applicable sales, use, excise, and similar taxes, which we collect where required.
6.4. By providing a payment method you represent that you are authorized to use it and you authorize us and our payment processor to charge the full order amount. If a payment is declined, we may cancel the order.
6.5. Chargebacks. You agree to contact us to resolve any billing problem before initiating a chargeback. Filing a chargeback on a valid, delivered order is a breach of these Terms; we may recover the amount, related fees, and reasonable collection costs, and may decline future orders.
7. Shipping and Risk of Loss
7.1. Delivery dates are estimates only. We are not liable for carrier delays.
7.2. Title and risk of loss pass to you when we deliver the Product to the carrier. Lost or damaged shipments are handled under our Shipping Policy; we may require you to file a carrier claim.
7.3. Adult-signature or age-verification delivery may be required by law or carrier policy. Refused, unclaimed, or undeliverable orders may be refunded less shipping and handling.
8. Returns and Refunds
8.1. Refunds, replacements, and our 30-day guarantee are governed by our Refund Policy posted on the Site.
8.2. We may decline a request that falls outside the Refund Policy, or where we reasonably suspect fraud, abuse, or tampering.
9. Product Quality and Lab Testing
9.1. We test every batch through an independent third-party laboratory. Certificates of Analysis are available via the QR code on the package or on the Site.
9.2. Natural botanical products vary from batch to batch in color, texture, aroma, and alkaloid content. Such variation is not a defect.
9.3. Alkaloid values shown on labels or Certificates of Analysis are laboratory measurements of a sample of the batch and are not a guarantee of the exact content of any individual package.
10. Disclaimer of Warranties
10.1. TO THE FULLEST EXTENT PERMITTED BY LAW, THE PRODUCTS AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2. We do not warrant that any Product will produce any particular effect or result, or that the Site will be uninterrupted or error-free.
10.3. Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the maximum extent permitted, and any implied warranty that cannot be excluded is limited in duration to thirty (30) days from delivery.
11. Limitation of Liability
11.1. TO THE FULLEST EXTENT PERMITTED BY LAW, KINDLEAF AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, SUPPLIERS, AND AGENTS (THE “KINDLEAF PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE PRODUCTS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.
11.2. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE KINDLEAF PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE PRODUCTS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
11.3. The limitations in this Section apply regardless of whether a remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud, or personal-injury liability that the law does not permit to be limited.
11.4. You agree that the limitations in Sections 10 and 11 are a reasonable allocation of risk and an essential basis of the bargain, and that the Products’ prices reflect them.
11.5. Time Limit on Claims. TO THE FULLEST EXTENT PERMITTED BY LAW, ANY DISPUTE MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM ARISES; OTHERWISE IT IS PERMANENTLY BARRED.
12. Indemnification
You agree to defend, indemnify, and hold harmless the KindLeaf Parties from and against all claims, losses, liabilities, damages, judgments, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms or any representation in them; (b) your violation of any law; (c) your misuse of any Product, including use contrary to label directions or warnings; (d) your provision of a Product to any other person, including any person under 21; (e) your resale of any Product; or (f) any content you submit to the Site.
13. Site Use, Content, and Intellectual Property
13.1. The Site and all of its content, including text, graphics, logos, images, product names, and the KindLeaf Naturals name and marks, are owned by or licensed to us and protected by intellectual-property laws. You may not copy, reproduce, or use them without our written permission, except to view and place orders.
13.2. If you submit a review, comment, photo, or other content, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, display, and distribute it in any medium, and you represent that it is truthful, is your own, and does not violate any law or third-party right. We may remove any content at our discretion.
13.3. You agree not to use the Site to violate any law, infringe any right, scrape or harvest data, introduce malicious code, place fraudulent orders, or impersonate any person.
13.4. Third-party links on the Site are provided for convenience; we are not responsible for third-party sites or content.
14. Privacy and Communications
14.1. Our collection and use of your information is described in our Privacy Policy.
14.2. You consent to receive transactional communications from us electronically. Marketing communications require your separate consent and you may opt out at any time.
15. BINDING ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US ON AN INDIVIDUAL BASIS AND LIMITS THE WAYS YOU CAN SEEK RELIEF.
15.1. Agreement to Arbitrate
You and KindLeaf agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms, the Site, any order, or any Product — including its purchase, labeling, marketing, safety, quality, or use, and including claims for personal injury, wrongful death, product liability, negligence, breach of warranty, consumer protection, unjust enrichment, or any other statutory or common-law theory — and including disputes about the scope, validity, enforceability, or interpretation of this Section 15 (each, a “Dispute”), will be resolved exclusively by binding individual arbitration and not in court, except as expressly provided in Sections 15.4 and 15.10.
This Section 15 survives termination of these Terms, completion of any order, and any change to the Site or the Products.
15.2. Federal Arbitration Act
This Section 15 is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq., which will apply to the interpretation, enforcement, and proceedings under it, to the exclusion of any state arbitration law.
15.3. Delegation
The arbitrator, and not any court, has exclusive authority to resolve all threshold questions of arbitrability, including whether this Section 15 is enforceable, applicable, or unconscionable, and whether a Dispute falls within its scope. The only exceptions are (a) the class action waiver in Section 15.7, whose enforceability a court decides, and (b) the small-claims carve-out in Section 15.4.
15.4. Small Claims Exception
Either party may bring an individual claim in small claims court in the county of your billing address, or in Orange County, Florida, if the claim qualifies and remains in that court on an individual basis. If a small-claims case is removed or appealed to a court of general jurisdiction, the Dispute must be arbitrated.
15.5. Informal Resolution First
Before starting an arbitration, the party raising the Dispute must send the other a written Notice of Dispute. Notices to KindLeaf go to info@kindleafnaturals.com and 7901 4th St. N, Ste 300, St. Petersburg, FL 33702, Attn: Legal. Notices to you go to the email and mailing address on your most recent order. The Notice must include the sender’s name, address, email, and phone; the order number(s) at issue; a description of the Dispute; and the specific relief sought. Within 30 days of the Notice, the parties (you personally, and a KindLeaf representative) will participate in a good-faith telephone or video conference to try to resolve the Dispute. Counsel may attend but the parties themselves must participate. Neither party may begin an arbitration until 60 days after the Notice is received and the conference has occurred. Any applicable limitations period is tolled during this process.
15.6. Arbitration Rules and Procedure
- Administrator. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “AAA Rules”) in effect when the arbitration is filed, as modified by this Section 15. The AAA Rules are available at www.adr.org. If the AAA is unavailable or declines to administer the arbitration consistently with this Section 15, the parties will select another administrator by agreement or, failing that, the court will appoint one under 9 U.S.C. § 5.
- Arbitrator. A single neutral arbitrator, who must be a retired judge or an attorney with at least 10 years of experience, will be appointed under the AAA Rules. The arbitrator is bound by these Terms and by applicable substantive law, and may award only relief available to an individual in court under applicable law.
- Location. If you are a U.S. resident, any in-person hearing will be held in the county of your billing address. Hearings may be held by video conference, and Disputes involving claims of $25,000 or less will be decided on written submissions unless the arbitrator finds that a hearing is necessary.
- Fees. Payment of filing, administrative, and arbitrator fees is governed by the AAA Rules. For claims you bring that do not exceed $10,000, KindLeaf will pay all AAA filing, administrative, and arbitrator fees other than any filing fee the AAA Rules require you to pay, unless the arbitrator finds that your claim was frivolous or brought for an improper purpose. Each party bears its own attorneys’ fees and costs unless applicable law or the AAA Rules provide otherwise.
- Discovery. The arbitrator may permit discovery consistent with the expedited nature of arbitration.
- Award. The arbitrator will issue a reasoned written decision. The award is final and binding, and judgment on it may be entered in any court of competent jurisdiction.
- Confidentiality. The parties will keep the arbitration, and any award, confidential except as necessary to enforce the award or as required by law.
15.7. CLASS ACTION AND COLLECTIVE ACTION WAIVER
YOU AND KINDLEAF AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY’S INDIVIDUAL CLAIM.
If a court determines that this Section 15.7 is unenforceable as to a particular claim or request for relief, then that claim or request — and only that claim or request — will be severed and litigated in court under Section 16, and all remaining claims will be arbitrated. The parties agree that this waiver is a material and essential term of this Section 15.
15.8. Mass Arbitration
If 25 or more similar Notices of Dispute or arbitration demands are brought by or with the assistance of the same law firm or group of firms, or are otherwise coordinated (a “Mass Arbitration”), the following applies: (a) the claims will be resolved in staged batches of no more than 25 claims each, selected by the parties’ counsel in alternating order, with a single arbitrator assigned to each batch; (b) no filing or administrative fees will be due, and no arbitrator will be appointed, for claims outside the current batch until that batch is resolved; (c) after the first two batches are decided, the parties will participate in a global mediation of the remaining claims, with mediation costs split equally; and (d) any applicable limitations period is tolled for claims awaiting a batch. If this Section 15.8 is found unenforceable, the AAA’s Mass Arbitration Supplementary Rules will apply.
15.9. Thirty-Day Right to Opt Out
You may opt out of this Section 15 by sending a written notice to info@kindleafnaturals.com or 7901 4th St. N, Ste 300, St. Petersburg, FL 33702, Attn: Arbitration Opt-Out, within 30 days after you first accept these Terms. The notice must include your name, address, email, and the order number of your first purchase, and must state that you are opting out of arbitration. Opting out does not affect any other provision of these Terms. If you do not opt out, you are bound by this Section 15.
15.10. Injunctive Relief and Intellectual Property
Either party may seek temporary or preliminary injunctive relief in court to prevent irreparable harm pending arbitration, and KindLeaf may bring claims in court to protect its intellectual property or to stop unauthorized resale or fraud.
15.11. Changes to This Section
If we change this Section 15 after you accept these Terms, the change will not apply to any Dispute for which a Notice of Dispute was sent before the change took effect. You may reject any change by opting out under Section 15.9 within 30 days after the change takes effect, in which case the prior version continues to apply.
15.12. Severability
Except as stated in Section 15.7, if any part of this Section 15 is found unenforceable, the remainder will be enforced to the fullest extent permitted by law.
15.13. WAIVER OF JURY TRIAL
TO THE EXTENT ANY DISPUTE IS HEARD IN COURT RATHER THAN IN ARBITRATION, YOU AND KINDLEAF EACH KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY.
16. Governing Law and Venue
16.1. These Terms and any Dispute are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, except that Section 15 is governed by the Federal Arbitration Act.
16.2. For any Dispute that is not subject to arbitration, you and KindLeaf agree to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida, and waive any objection to venue or personal jurisdiction there.
17. General Terms
17.1. Changes to These Terms. We may update these Terms by posting a new version with a new Effective Date. Material changes will be highlighted at checkout. Your next purchase after a change constitutes acceptance of the new version, subject to Section 15.11.
17.2. Entire Agreement. These Terms, together with the policies they incorporate and your order confirmation, are the entire agreement between you and KindLeaf regarding their subject matter and supersede all prior agreements and communications.
17.3. Severability. Except as provided in Section 15.7, if any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in full force.
17.4. No Waiver. Our failure to enforce any provision is not a waiver of it.
17.5. Assignment. You may not assign these Terms. We may assign them to an affiliate or successor.
17.6. Force Majeure. We are not liable for failure to perform due to causes beyond our reasonable control, including carrier failures, supplier failures, regulatory action, natural disasters, or changes in law.
17.7. Survival. Sections 3, 4, 5.4, 6.5, 9–13, 15, 16, and 17 survive any termination.
17.8. Notices. Legal notices to us must be sent to info@kindleafnaturals.com and 7901 4th St. N, Ste 300, St. Petersburg, FL 33702, Attn: Legal. We may send notices to the email address on your account or order.
17.9. Electronic Signatures. You agree that checking the acceptance box has the same legal effect as a handwritten signature and that these Terms may be maintained in electronic form.
17.10. Contact. Questions about these Terms: info@kindleafnaturals.com.
